Terms of Service

These Terms of Service (“Terms”) govern your access to and use of withgrid.io and the Grid beta intake survey (the “Service”). The Service is operated by MUSEA (“Grid,” “we,” “us,” or “our”).

By accessing the Service or submitting the beta intake survey, you agree to these Terms and our Privacy Policy. If you do not agree, do not use the Service or submit the survey.

Beta Survey Scope

Grid beta is a research survey for U.S. small business owners and people planning to start a U.S. business. The beta helps Grid learn which business stages, business types, locations, hurdles, tools, and support needs should guide future product development.

Any future product features are outside the current beta scope unless Grid separately offers them under updated terms.

Eligibility

You may use the Service only if:

  • You are at least 18 years old.
  • You are located in the United States.
  • Your survey response relates to a business or planned business in one of the 50 U.S. states or Washington, D.C.
  • You can enter into a binding agreement with Grid.
  • Your use of the Service complies with these Terms and applicable law.

Grid beta is not intended for users outside the United States, U.S. territories, APO/FPO addresses, or users under 18.

No Professional Advice

Grid beta is for research and informational purposes only. The Service does not provide legal, tax, accounting, financial, investment, employment, insurance, licensing, compliance, real estate, health, or other professional advice.

You are responsible for your own business decisions. Before making decisions that may affect your legal rights, finances, taxes, licenses, employees, customers, leases, insurance, operations, or compliance obligations, consult qualified professionals.

Survey Submissions

When you submit the survey, you agree that:

  • The information you provide is accurate to the best of your knowledge.
  • You will not submit information that you do not have the right to provide.
  • You will not submit confidential third-party information, government ID numbers, financial account numbers, passwords, health information, or other sensitive information that is not needed for the survey.
  • You understand that Grid may review your submission for research, product development, incentive eligibility, fraud prevention, and follow-up if you opted in.

You retain ownership of information you submit. You grant Grid a non-exclusive, worldwide, royalty-free license to use, store, reproduce, analyze, summarize, and create aggregated or de-identified insights from your submission for the limited purposes described in these Terms and the Privacy Policy, including operating the Service, reviewing submissions, determining incentive eligibility, preventing fraud and abuse, improving the survey experience, and developing future Grid products.

This license extends to Grid's service providers only as needed to support the purposes described in these Terms and the Privacy Policy. Identifiable personal information remains subject to the Privacy Policy. If you request deletion and Grid verifies the request, Grid will handle the request as described in the Privacy Policy. Aggregated or de-identified insights and residual backup copies may continue to exist after deletion, subject to Grid's retention practices and applicable law.

Grid may remove, delete, or disregard submissions that appear incomplete, fraudulent, automated, abusive, outside beta scope, unlawful, or inconsistent with these Terms.

Local Browser Storage

The Service may save in-progress survey answers in your browser's local storage so you can resume the survey. If you use a shared device, another person with access to that browser may be able to see saved in-progress answers. Grid clears saved intake state after successful submission.

Optional Marketing and Interview Follow-Up

Marketing updates are optional and separate from submitting the survey. If you opt in, Grid may send occasional updates, product news, or resources. You can unsubscribe from marketing emails at any time.

Interview participation is optional and separate from marketing consent. If you opt in, Grid may contact you about a possible follow-up conversation. Opting in to interviews does not mean you opted in to marketing emails.

Grid may still send transactional or operational messages about your submission, incentive eligibility, gift-card fulfillment, privacy requests, or these Terms even if you do not opt in to marketing.

Incentive Terms

Grid may offer a $20 Starbucks gift card to eligible respondents who are among the first 100 completed beta submissions during the Grid beta survey period.

Incentive eligibility is subject to these terms:

  • No purchase is necessary.
  • Submitting a survey does not guarantee you will receive a gift card.
  • The incentive is limited to the first 100 eligible completed beta submissions received during the survey period, while supplies last.
  • Limit one incentive per person and email address, unless Grid states otherwise in writing.
  • Duplicate, incomplete, automated, fraudulent, abusive, or out-of-scope submissions may be disqualified.
  • A "completed beta submission" means a submitted survey response that includes the required survey fields, a valid email address, and enough information for Grid to determine that the response is within the beta scope.
  • Grid may manually review submissions before fulfillment.
  • Grid may require a valid email address and reasonable verification before fulfillment, including confirmation that you control the email address associated with the submission.
  • Grid will determine incentive eligibility in its reasonable discretion based on the information available to Grid.
  • Grid will attempt to fulfill approved incentives within a reasonable time after eligibility review, but timing may vary based on review volume, email deliverability, provider availability, and fraud-prevention checks.
  • Gift cards are not transferable, may not be substituted for cash, and are subject to the issuer's terms.
  • Grid is not responsible for lost, delayed, misdirected, undeliverable, or incorrectly entered email addresses.
  • You are responsible for any taxes, reporting, or other obligations that may apply to your receipt or use of an incentive.
  • Void where prohibited by law.

Starbucks is not a sponsor or administrator of the Grid beta unless expressly stated by Starbucks or Grid in writing. Names and trademarks belong to their respective owners.

Acceptable Use

You agree not to:

  • Use the Service for unlawful, misleading, abusive, harmful, or fraudulent purposes.
  • Submit automated, scripted, duplicate, spam, or bulk responses.
  • Attempt to bypass rate limits, security controls, geo-blocking, CSRF protections, validation, or access restrictions.
  • Interfere with or disrupt the Service or related systems.
  • Probe, scan, or test vulnerabilities without written permission.
  • Attempt to access non-public systems, data, keys, logs, dashboards, or submissions.
  • Impersonate another person or misrepresent your relationship with a business.
  • Submit content that infringes, misappropriates, or violates someone else's rights.

Grid may restrict, block, delete, or disregard submissions or access that violates these Terms.

Intellectual Property

The Service, website, design, text, graphics, logos, software, and other Grid materials are owned by Grid or its licensors and are protected by intellectual property laws. These Terms do not transfer any ownership rights to you.

You may use the Service only for its intended beta survey purpose.

Third-Party Services and Links

The Service may rely on third-party providers for hosting, storage, analytics, error monitoring, rate limiting, email, and other operations. The site may also link to third-party websites or resources. Grid is not responsible for third-party content, terms, policies, or practices.

Privacy

Please review our Privacy Policy to understand how we collect, use, share, and retain information. If these Terms and the Privacy Policy conflict about how Grid handles personal information, the Privacy Policy controls for that conflict.

Electronic Communications and Notices

By providing your email address or otherwise using the Service, you agree that Grid may send you electronic communications related to the Service. These may include transactional or operational messages about your submission, incentive eligibility, gift-card fulfillment, verification, privacy requests, security, legal notices, or changes to these Terms.

Marketing emails are optional and will only be sent if you opt in. You can unsubscribe from marketing emails at any time. Unsubscribing from marketing emails does not stop transactional or operational messages.

Changes to the Service

Grid beta is experimental and may change. We may modify, suspend, limit, or discontinue all or part of the Service at any time, with or without notice.

Disclaimers

The Service is provided "as is" and "as available." To the fullest extent permitted by law, Grid disclaims all warranties, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, availability, and reliability.

Grid does not warrant that the Service will be uninterrupted, secure, error-free, or that submissions will always be received, stored, or available.

Limitation of Liability

To the fullest extent permitted by law, Grid and its officers, directors, employees, contractors, agents, affiliates, and service providers will not be liable for indirect, incidental, special, consequential, exemplary, punitive, or lost-profit damages, or for loss of data, business opportunity, goodwill, or revenue, arising from or related to the Service or these Terms.

To the fullest extent permitted by law, Grid's total liability for any claim arising from or related to the Service or these Terms will not exceed the greater of $100 or the amount you paid Grid to use the Service in the 12 months before the claim. Because the beta survey is free, this amount will usually be $100.

Some jurisdictions do not allow certain limitations of liability, so some limitations may not apply to you.

Indemnification

To the fullest extent permitted by law, you agree to defend, indemnify, and hold harmless Grid and its officers, directors, employees, contractors, agents, affiliates, and service providers from and against claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising from or related to your use of the Service, your survey submission, your violation of these Terms, or your violation of law or third-party rights.

Copyright and IP Concerns

If you believe material on the Service infringes your copyright or other intellectual property rights, contact Grid at julie@withgrid.io with enough information for Grid to understand and review the concern. Grid may remove or restrict material that it believes may infringe third-party rights or violate these Terms.

Governing Law and Venue

These Terms are governed by applicable law, without regard to conflict-of-law rules. The final governing law state and venue for the public beta launch are subject to founder and counsel confirmation.

Termination

We may suspend or terminate your access to the Service at any time if we believe you violated these Terms, created risk for Grid or others, or used the Service outside its intended beta scope.

Sections that by their nature should survive termination will survive, including intellectual property, survey submission license, disclaimers, limitation of liability, indemnification, governing law, and dispute provisions.

Assignment

You may not assign or transfer these Terms without Grid's prior written consent. Grid may assign or transfer these Terms in connection with a merger, acquisition, financing, reorganization, sale of assets, change of control, or by operation of law.

Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will update the effective date and take other steps required by law. Your continued use of the Service after updated Terms become effective means you accept the updated Terms.
